Abstract. In the presented paper, we address the issue of misuse of confidential data being represented by a client list, specifically in the relationship between an independent financial agent and a subordinate financial agent. This is a rather burning issue when a subordinate financial agent breaks away from its existing contractual partner – the independent financial agent, and, together with the database of clients that the subordinate financial agent has acquired, or even the “core“-clients of the independent financial agent, migrate to another independent financial agent, of course, with the aim of commercially exploiting this database. This issue has been and still is the cause of many disputes, on the other hand, it has given rise to the emergence of strong distribution networks operating in the area of financial intermediation in the Slovak Republic. On the other hand, it is also an interesting and so far not comprehensively solved interdisciplinary legal problem, because the legal institute of the client database can be viewed from several perspectives, whether private or public law. Our approach, which we implement in this article, includes a commercial law perspective – from the perspective of trade secret regulation, a civil law perspective – from the perspective of a special right to the database and finally an administrative law perspective – from the perspective of data protection. We apply all these perspectives through the prism of public law regulation of the business of financial agents, which we classify as a branch of financial law. We will also touch marginally on the criminal law aspects of insider protection.
